Terms and conditions
of service

Version 2026-10-17-v4 · Effective 17 October 2026

1. Who we are and how to contact us

Qrio is operated by Silva Forest Solutions Ltd, a company registered in England and Wales (company number 15856487). Our registered office is 13 Southern Way, Farnborough, England, GU14 0RE. In these terms, “we”, “us” and “our” mean Silva Forest Solutions Ltd. Contact us about the service, cancellations or complaints at info@silvaforest.solutions or by writing to our registered office. “You” means the person or business using Qrio. If you act for a business, you must have authority to accept these terms on its behalf.

2. The service and your agreement

Qrio lets you create and manage QR codes that redirect to a destination you select. Creating or downloading a code does not by itself activate a paid lease. Public redirects require an active paid lease or an expressly granted introductory lease. A lease is permission to use our hosted redirect service; it does not transfer ownership of Qrio, its domain or its software.

You must actively agree to these terms before creating QR codes and again before starting a paid subscription. We record your account, the terms version, the time and the purpose of your agreement. A subscription starts when checkout is successfully completed; paid billing begins immediately or after the chosen free trial, as shown at checkout. You can review and correct the details before paying. Keep a copy of these terms and your payment confirmation.

3. Prices, payment and renewal

An optional 7-day free trial is available on each QR code’s first subscription. Card details are required at checkout. The trial starts when checkout is completed and gives access to the QR redirect service at no charge. Unless you cancel before the trial ends, the subscription automatically becomes paid at your selected rate of £1.99 per month or £22.92 per year, including VAT, subject to any valid discount shown at checkout. Stripe shows the first charge date. Cancel through Manage subscription to stop the trial immediately without a subscription charge. There is no refund for free trial time because no payment was taken. Restarting a subscription on the same QR code does not create a new trial. The same or a closely similar destination URL is eligible for only one free trial across all accounts, even when a different email address or QR code is used. We compare normalised destination URLs, disregard tracking and most query parameters, and check minor path variations. Destination changes during a trial are also checked. A pending checkout may temporarily reserve eligibility; completed or cancelled trials retain their trial-use history. If a legitimate destination is incorrectly matched, contact info@silvaforest.solutions for review or choose a paid subscription. We retain restricted destination trial-use records to prevent repeated free trials. You may instead choose to pay immediately. Existing paid subscriptions are unchanged.

Choose £1.99 per QR code per month or £22.92 per QR code for 12 months paid in advance, including VAT. The annual price is the standard monthly price multiplied by 12, less 4%, rounded to the nearest penny (£23.88 less £0.96). Annual subscriptions renew automatically every 12 months; monthly subscriptions renew each month, until cancelled. The chosen billing frequency and total are shown before payment. The same optional 7-day trial and destination eligibility checks apply to both plans. For a trial, the paid 12-month period starts when the trial ends, not when the order is placed. Valid voucher discounts can be entered at checkout; the final charge is shown before you confirm. Stripe processes payments using your chosen payment method. We do not receive or store your full card details.

We will give at least 30 days’ written notice of a price increase, which will apply only to a future renewal. You may cancel before the change takes effect. Failed payment may prevent activation or continued access after your paid period ends. We will not charge a separate cancellation fee; an early annual cancellation may adjust the annual discount as explained in section 5.

4. Starting immediately and consumer cancellation rights

You may request that we begin providing the service immediately. We ask for your express request separately from your agreement to these terms. If you are a consumer, you ordinarily have a legal right to cancel a service contract within 14 days of entering it, without giving a reason. Starting the ongoing service does not by itself waive that right. If you requested an immediate start, you pay only for the proportion of service supplied up to cancellation, to the extent permitted by law. Where the law requires a full refund or a more favourable remedy, that right takes priority.

To cancel, use Manage subscription in your Qrio account or send us a clear cancellation statement by email or post. You may use the optional form in section 12. We will process any statutory refund without undue delay and within the applicable legal time limit, ordinarily within 14 days of being told of your cancellation.

5. Cancellation by you and pro rata refunds

You can cancel a subscription at any time through Manage subscription. Cancellation takes effect immediately and the affected QR redirect stops working. Pausing or archiving a code does not cancel its subscription or stop renewal payments.

We refund the unused part of the current paid billing period on a pro rata basis: the amount actually paid for that period, including VAT, multiplied by the unused time remaining divided by the total time in that period, rounded to the nearest penny. Previous refunds or credits are taken into account so the total refunded does not exceed the amount paid. A cancellation at the end of a fully used period has no unused-time refund. Statutory rights to additional refunds or remedies remain unaffected.

For a customer-requested annual cancellation before month 12 starts in the current paid annual period, the 4% annual discount is removed from the time used: the refund is the amount actually paid for that annual period minus £23.88 multiplied by the fraction of the annual period already used. The result is rounded to the nearest penny and limited to between £0 and the amount actually paid, after previous refunds or credits. This also applies where a voucher reduced the payment; no extra payment is collected if the result is negative. Month 12 starts 11 calendar months after the paid period begins, using the last day of the target month if necessary. From the start of month 12, the ordinary pro rata calculation on the discounted amount actually paid applies instead. Each annual renewal starts a new paid annual period. Free trial days are excluded from paid time. The adjustment does not apply to cancellation within the statutory 14-day cooling-off period, cancellation by us, or where statutory rights require a more favourable refund. Contact support for faulty-service or other statutory claims.

Refunds are returned to the original payment method, with a credit note where appropriate. Bank processing can take additional time. Contact us if a refund is delayed or marked as needing support.

6. Cancellation or suspension by us

We reserve the right to cancel any Qrio service or subscription on reasonable written notice for a genuine business, operational, technical or legal reason, including discontinuing the service or being unable to continue supplying it. For ordinary cancellation, we will give at least 30 days’ notice to the email address on your account, explain the reason and state the effective date. We will act reasonably and will not use this right arbitrarily or to avoid our obligations to you. You may cancel sooner under section 5.

We may suspend or cancel with shorter notice, or immediately where reasonably necessary, to comply with law, address a serious security risk, prevent fraud or unlawful use, or respond to a serious breach of these terms. Where a breach can reasonably be corrected without harm, we will first explain it and give you a reasonable opportunity to correct it. We will notify you promptly of urgent action unless the law prevents us from doing so.

If we cancel, any refund due for unused prepaid service will be calculated from the amount actually paid on the ordinary pro rata basis in section 5 from the effective cancellation time, without removing the annual discount. We will not impose a forfeiture of unused prepaid fees merely because we exercised our cancellation right. If a suspension is caused by us and you cannot use the paid service, we will provide an appropriate refund or credit, without limiting your legal remedies. No further renewal payments will be taken after cancellation takes effect.

7. Your responsibilities and acceptable use

Keep your login details secure and your contact and payment details current. You are responsible for the destination URLs and content you provide and for having the necessary rights and permissions. Do not use Qrio for fraud, phishing, malware, unlawful content, infringement of others’ rights, harassment, or attempts to disrupt or gain unauthorised access to systems. Do not include passwords or other sensitive credentials in destination URLs.

Check that your destination works and test each QR code before printing or distributing it. You are responsible for your printed materials and for explaining to your audience when a link changes. Qrio does not control third-party websites. Cancellation, expiry, suspension or archiving may make previously printed QR codes inactive.

8. Availability, changes and responsibility

We will provide the service with reasonable care and skill. We may carry out maintenance and make reasonable improvements. We do not promise uninterrupted availability or that third-party websites, networks or devices will always work. We will give reasonable advance notice of planned material interruptions where practicable.

We are responsible for reasonably foreseeable loss caused by our breach of these terms or failure to use reasonable care and skill, subject to applicable law. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or consumer right that cannot lawfully be excluded or limited. If you use Qrio as a consumer, your statutory rights to remedies for defective services are unaffected. Qrio is not designed for emergency or safety-critical use.

9. Information and communications

We use the account and QR destination information you provide to supply and administer Qrio, support you, record agreements and meet legal obligations. Supabase supports account and data storage, Cloudflare hosts the service and Stripe processes payments. Agreement to these terms is not consent to marketing. Please do not put confidential personal data in a public destination URL. Contact us with questions about your information or to exercise applicable data-protection rights.

Service notices, including cancellation and price-change notices, will be sent to your account email address. Keep it up to date. We will provide contract information in a form you can retain where required by law.

10. Changes to these terms

We may update these terms for genuine legal, security, operational or service changes. We will give at least 30 days’ written notice of a material change affecting an existing paid subscription, unless a legal or urgent security reason requires an earlier change. Changes will not remove rights you have already acquired or retrospectively change charges. You may cancel before a material change takes effect and receive any refund due under section 5. Where fresh agreement is required, we will ask for it. Each version is dated and available to save.

11. Complaints and applicable law

Please contact us first so we can investigate and try to resolve a complaint. These terms are governed by the law of England and Wales. If you are a consumer, this does not deprive you of mandatory protections or rights to bring proceedings in the courts available to you under applicable law, including the courts of your home part of the UK. If you are a business, the courts of England and Wales have exclusive jurisdiction. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
